Legal Careers: Job Family Introduction

The Legal job family is divided into the following functions :

1. Lawyers' functions that exist in the following areas of expertise:

Number: The Legal family comprises approximately 50 Lawyers.

 

Description of the various areas of expertise

a) Mergers & Acquisitions and Compliance
The M&A and Compliance Group, takes a proactive role in advising, structuring and drafting most BCE group of companies M&A and securities transactions, particularly acquisitions, investments, divestitures, corporate reorganizations, financing and monetizations. Our Group also provides guidance and support on compliance and disclosure requirements applicable to BCE and Bell under the various Canadian and U.S. securities, corporate and stock exchange rules, legislation and regulations.

b) Commercial Group
The Commercial Group takes a proactive role in advising the Enterprise, Small Medium Business, Carrier Services and Bell Systems and Technology Groups on the structuring, drafting and closing of major commercial agreements driving revenues, technology and other procurement agreements, and various alliances agreements. Furthermore, the Group provides ongoing interpretation, conflict resolution and advisory work (including formal legal opinions) in connection with Bell's major relationships and proposed initiatives impacting those relationships.

c) Litigation
The Litigation Group is responsible for all litigation and liability risk management matters that arise within BCE/Bell and its subsidiaries.

d) Labour
The Labour Group provides services in all the employment matters that arise at Bell and its subsidiaries. Our role is to provide advice and support to Industrial Relations, Human Resources and Health and Security departments.

e) Intellectual Property
The Intellectual Property Group:

  • identifies and qualifies potential intellectual property assets (such as employee inventions);
  • ensures adequate legal protection of our core intellectual property assets (trademarks, domain names, patents, industrial designs, trade secrets); including the legal prosecution of related trademarks and patents applications;
  • supports sale and licensing of intellectual property assets (Business development) and manages intellectual property sharing agreements with our Affiliates; and
  • provides legal support for the structuring, negotiating and closing of complex technology, procurement and r evenue agreements, as well as for the acquisition/distribution of intellectual property assets in Mergers & Acquisitions related transactions.

f) Corporate Secretary's Office (CSO)
The Corporate Secretary's Office, is responsible for three broad areas:

  • all matters relating to Board and Committee meetings and the BCE Annual Shareholder Meeting;
  • maintaining and publishing corporate information on all companies within the BCE Group and providing paralegal assistance to the Legal Department; and
  • communication and compliance matters in the areas of ethics and policy management.

g) Regulatory Affairs
The Regulatory Affairs mandate is to ensure that Bell and its Subsidiaries are (1) fully compliant with all regulations, and (2) increase the proportion of CRTC/government issues (applications, complaints, disputes, other regulatory filings) that are resolved favourably to Bell. This group provides effective and efficient government and regulatory support for Bell's business unit initiatives and is responsible to effectively communicate Bell's government and regulatory messages with the support of Bell's corporate communications group.
